Recently, Kangda Environmental Protection, a Hong Kong listed company, released a disclosure required transaction announcement. Its indirectly wholly-owned subsidiaries, Dongping Kangda (as the transferor) and Dongping County Taida (as the transferee), entered into an agreement with the Dongping Management Committee. According to the agreement, Dongping Kangda agreed to sell, and Dongping County Taida agreed to repurchase the relevant assets on behalf of the Dongping County government,The cost is approximately RMB 127.1 million.
The relevant assets include the franchise rights of the sewage treatment plant, the sewage treatment plant and all its assets, the sewage treatment fees owed by the Wugang Municipal Government (including overdue interest and fees), and all rights and obligations enjoyed by the transferor under the franchise agreement. This transaction constitutes a required disclosure transaction for the company and must comply with the provisions of Chapter 14 of the Listing Rules. The board of directors believes that this asset transfer will enable the group to save a significant amount of operating expenses and potential capital expenditures, obtain immediate cash inflows, and invest resources in other more profitable projects, which is in line with the overall interests of the company and shareholders.
It is expected that this transaction will result in a loss of approximately RMB 18.1 million, and the net proceeds of approximately RMB 119 million are intended to be used as general operating capital for the group.
